Corellix General Licence and Service Terms
These Terms govern the use of Corellix in the cloud (SaaS) and on-premise, in every Edition, however purchased: directly on corellix.io or through an authorised partner. They are reserved for businesses and professionals. Some clauses require the specific approval provided for by arts. 1341 and 1342 of the Italian Civil Code (art. 31). This English version is a translation: the Italian text prevails.
1. Parties and scope
1.1These General Licence and Service Terms (the “Terms”) are issued by Corellix Software Engineering Srl, with registered office at Via Trieste, 10, 24023 Clusone, Bergamo, Italy, VAT number IT17213231008 (the “Licensor”) and govern: (a) the licence to use the Corellix software, including CorellOS, Corellix for Windows, the agents (User Agent, Infra Agent) and any other component, module or update distributed by the Licensor (the “Software”); (b) access to the Corellix Cloud service, hosted and operated by the Licensor (the “Cloud Service”); (c) the related support and maintenance services.
1.2These Terms apply to all Editions, free and paid, to the free trial and to both deployment modes, cloud (SaaS) and on-premise, whatever the channel through which the Customer obtains the Software or the Cloud Service: directly from the Licensor, through the website www.corellix.io (the “Site”) or through a Partner.
1.3The contract between the Licensor and the Customer (the “Agreement”) consists of, in order of precedence: (i) any specific written agreement signed by both parties; (ii) the Order; (iii) these Terms, including Annex A; (iv) the Documentation. The Customer's general terms, however referred to, including in a purchase order, do not apply, even if not expressly rejected.
1.4The Software and the Cloud Service are intended exclusively for businesses, public bodies and professionals. By accepting these Terms the Customer declares that it is acting for purposes relating to its trade, business, craft or profession, and not as a consumer within the meaning of Italian Legislative Decree no. 206 of 6 September 2005 (Consumer Code). Anyone accepting these Terms on behalf of an organisation declares that they have authority to bind it.
2. Definitions
- Account: the user account created on the Site, through which the Customer requests, buys, downloads and manages licences and environments.
- Subscription and Subscription Period: the time-limited right of use purchased with the Order, and its duration.
- Environment: a single on-premise installation, or a single tenant of the Cloud Service, identified by the Licence File or by the tenant.
- Platform Fee: the periodic fee for the Edition, payable for each Environment.
- Customer: the business, public body or professional that accepts these Terms.
- End Client: the party on whose behalf an MSP operates an Environment under art. 9.
- Customer Data: the data, including personal data, that the Software collects from the Customer's systems or that the Customer enters into it.
- Documentation: the technical and user documentation published at docs.corellix.io and on the Site, as updated from time to time.
- Edition: the commercial configuration of the Software (Free, Starter, Professional, Enterprise or the others published on the Site), with the characteristics set out in Annex A and in the price list on the Site.
- Licence File: the digitally signed file (.lic) that states the Edition, capacity and expiry of the licence.
- MSP: a managed service provider that uses the Software to deliver services to its own End Clients.
- Order: the order confirmed on the Site, the accepted quotation or the order placed through a Partner, stating Edition, Units, modules, term and fees.
- Partner: a reseller, distributor or MSP authorised by the Licensor to market the Editions.
- Units: the measured quantities on which fees and licence capacity are calculated — EUC Seats, Infrastructure Nodes and Virtual Machines — as defined in the price list on the Site.
- Authorised Users: the employees and contractors of the Customer, or of third parties acting on its behalf, whom the Customer enables to use the Software.
3. Formation of the Agreement and Account
3.1For purchases on the Site, the Agreement is concluded when the Licensor confirms the Order, normally upon confirmation of payment; for quotations, when the Customer accepts the quotation. For the Free edition and the free trial, the Agreement is concluded when the licence or trial environment is requested from the Account.
3.2When the Customer buys through a Partner, the commercial relationship is between the Customer and the Partner (art. 8), while the licence of use is granted directly by the Licensor under these Terms. Activating the Licence File or first accessing the Cloud Service constitutes acceptance of these Terms.
3.3The Customer provides accurate and up-to-date information, safeguards the credentials of the Account and of the Authorised Users, and is responsible for all activity carried out with them. It notifies the Licensor without delay of any unauthorised use it becomes aware of.
4. Licence grant
4.1For the Subscription Period, and provided that the Agreement is complied with, the Licensor grants the Customer a non-exclusive, non-transferable and non-sublicensable licence, save as provided in art. 9, to use the Software in object code form for the internal purposes of its organisation, within the Edition, Units, Environments and modules stated in the Order and in the Licence File.
4.2On-premise, the Customer may install the Software on infrastructure under its control — on CorellOS or as Corellix for Windows — in as many Environments as the licence covers, install the agents on the monitored systems of each Environment and make the copies needed for backup and recovery.
4.3In the cloud, the Licensor makes the Cloud Service available over the Internet to the Customer's Authorised Users; the Customer receives no copy of the server-side software.
4.4The Software is licensed, not sold. All rights not expressly granted are reserved to the Licensor and its licensors.
4.5The Customer may allow consultants and suppliers acting on its behalf to use the Software, and is responsible for their conduct as for its own.
5. Editions, Units and capacity
5.1The characteristics of each Edition — included Units, capacity caps, data history, deployment mode, contact with the cloud, support, resellability and features — are those set out in Annex A and in the price list published on the Site on the date of the Order.
5.2Fees consist of the Platform Fee and of the Units exceeding those included in the Edition, which carry no additional cost. Every Order includes the Platform Fee of the Environment it refers to.
5.3The Customer may not monitor more Units than it has purchased. If actual use, as detected by the Software or declared by the Customer, exceeds the purchased capacity, the Customer purchases the missing Units, which the Licensor may invoice at list price pro rata for the remaining period, from the time the capacity was exceeded. The Software may also technically prevent capacity from being exceeded.
5.4Beyond the capacity cap of an Edition, a higher Edition is required. Upgrading to a higher Edition is possible at any time, paying the difference for the remaining period; moving to a lower Edition or reducing Units takes effect at the next renewal.
6. Activation and contact with the cloud (on-premise)
6.1An on-premise installation only works with a valid Licence File, uploaded at first start: on CorellOS in the first-boot wizard, on Windows in the CorellixSetup.exe wizard.
6.2Except for Editions that include air-gap, the installation periodically contacts the Licensor's cloud services to verify and update the licence and to send the aggregate usage data described in art. 12.5. The Customer allows the outbound connections needed for this purpose.
6.3Without contact, functionality is reduced in stages, according to the thresholds set out for each Edition in Annex A: first a warning appears in the console; then action functions are disabled, such as remote access, remote scripts and machine power management; then data collection stops, while data already collected remains viewable; finally the platform halts. Operation resumes at the first successful contact. Reduced functionality never deletes any data.
6.4In Editions that include air-gap, the installation works without any connection to the cloud, with a standalone Licence File. In that case the Customer, at the Licensor's request and no more than once a year, declares in writing the Units in use in each Environment.
6.5The Customer does not circumvent, disable or alter the licence controls, the measurement of Units or the contact with the cloud, and does not create, modify or use Licence Files not issued by the Licensor.
7. Free edition and free trial
7.1The Free edition is free of charge and on-premise only. It is limited to one per Account, for a single Environment, with the capacity and history set out in Annex A. It is intended for the Customer's use in its own environment: it may not be resold or used to provide services to third parties, and it includes community support only, with no guaranteed response times.
7.2The Free licence remains valid as long as the installation keeps in contact with the cloud. An installation that stays out of contact for a long time halts under art. 6.3, and its licence may lapse within the year, allowing the Customer to request a new one. The Customer may close the Free licence at any time from its dashboard.
7.3The free trial runs in the Cloud Service, for the duration set out in Annex A, and is intended for evaluating the Software, not for production use. On expiry, unless a purchase follows, the grace period in art. 15.3 and the deletion in art. 12.6 apply.
7.4The Licensor may change or discontinue the Free edition and free trial offer with at least 30 days' notice, given by e-mail or on the Site.
7.5Articles 18.4 and 19.3 apply to the Free edition and to the free trial.
8. Purchases through a Partner
8.1Partners may only resell the Editions marked as resellable in Annex A. The Free edition and the free trial are not resellable.
8.2Price, invoicing, payment terms and any additional services are agreed directly between the Customer and the Partner. The Partner is not an agent or representative of the Licensor: it may not change these Terms or undertake obligations on the Licensor's behalf, and the Licensor is not liable for commitments made by the Partner beyond what the Agreement provides.
8.3Where agreed with the Partner, first-level support is provided by the Partner. The Licensor provides in any case the support included in the purchased Edition.
8.4If the Licensor does not receive from the Partner the fee for the Customer's Subscription, it may suspend the licence with at least 15 days' written notice to the Customer, during which the Customer may regularise its position by purchasing the remaining period directly from the Licensor or through another Partner.
8.5If the relationship between the Customer and the Partner ends, the Customer may continue the Subscription at renewal directly with the Licensor or with another Partner, keeping the data collected.
9. Use by MSPs
9.1The Customer may use the Software to deliver managed services to End Clients only if it is an authorised Partner or the Order expressly provides for it, and only with resellable Editions.
9.2The MSP: (a) is solely responsible to its End Clients for the services it delivers; (b) imposes on its End Clients obligations no less protective of the Licensor than those in arts. 10, 11 and 17; (c) is responsible for the acts of its End Clients as for its own; (d) counts the Units and Environments of each End Client against the purchased capacity.
9.3End Clients acquire no rights or claims against the Licensor by virtue of their contract with the MSP, unless they enter into an Agreement directly with the Licensor. Towards them the MSP acts as controller or processor of personal data, and the Licensor acts as sub-processor under art. 13.
10. Restrictions
Except as permitted by mandatory law, and in particular by art. 64-quater of Italian Law no. 633 of 22 April 1941, the Customer may not:
- decompile, disassemble or reverse engineer the Software;
- modify or translate it, or create derivative works from it;
- rent, lease, lend or sublicense it, or resell it, outside the cases in arts. 8 and 9;
- remove or alter trademarks, copyright notices or other proprietary notices;
- use it to develop a competing product or service;
- run vulnerability or load tests against the Cloud Service without the Licensor's written consent, or otherwise compromise its security or operation;
- use it for unlawful purposes or in breach of third-party rights.
11. Lawful use of monitoring
11.1The Software collects data about infrastructure, work sessions, users and applications, and offers remote access and privileged access management functions. The Customer decides what to monitor, with which functions and for which purposes, and is solely responsible for the lawfulness of those choices.
11.2In particular, the Customer ensures compliance with Regulation (EU) 2016/679 (“GDPR”), Italian Legislative Decree no. 196 of 30 June 2003, arts. 4 and 8 of Italian Law no. 300 of 20 May 1970 (Workers' Statute) and the equivalent rules of the other countries where it uses the Software, including, where required, notices to data subjects and a trade union agreement or authorisation from the Labour Inspectorate.
11.3The Customer is responsible for the access credentials to monitored systems that it configures in the Software, for the permissions granted to Authorised Users and for the actions performed on its systems through the Software.
12. Data
12.1Customer Data belongs to the Customer. The Licensor acquires no rights in it, except to process it to the extent needed to provide the Cloud Service and support and to perform the Agreement.
12.2On-premise, Customer Data stays on the Customer's infrastructure. The Licensor accesses it only if the Customer allows it, for example for a support intervention.
12.3In the Cloud Service, Customer Data is hosted on Microsoft Azure infrastructure in data centres located in the European Union. The Licensor makes backup copies for service continuity.
12.4On-premise, the Customer is responsible for backing up its data and for protecting the infrastructure on which the Software is installed.
12.5The Licensor collects aggregate usage data — the identifiers of the Environment and of the licence, the Software version and the number of Units in use of each type — to verify the licence, calculate fees, provide support and improve the Software. No usernames, hostnames or session content are sent from on-premise installations. The Licensor may use anonymous and aggregate statistics also after the Agreement ends.
12.6In the Cloud Service, once the grace period in art. 15.3 has elapsed, the environment is suspended for 30 days, during which data is retained and the Customer may renew the Subscription and resume use, or request the return of its data in a commonly used format; the environment is then deleted and the data permanently erased within the following 30 days, subject to the technical rotation cycles of backup copies. The free trial environment is not suspended and is deleted at the end of the grace period. Unless otherwise agreed, the same timeline applies to any other termination of the Agreement. On-premise, the Licensor does not delete any data on the Customer's infrastructure.
12.7The artificial intelligence functions (Corell!A) produce automatically generated analyses and suggestions, which may be incomplete or inaccurate: the Customer verifies them before basing decisions or actions on them. In the Cloud Service, requests are processed by models hosted on Microsoft Azure in the European Union; on-premise, the Customer may configure a provider of its choice, with which it has an independent relationship. The Licensor does not use Customer Data to train artificial intelligence models intended for other customers.
13. Personal data protection
13.1For the processing of personal data carried out in the Cloud Service and in support, the Customer is the controller — or the processor, when acting for an End Client — and appoints the Licensor as processor — or sub-processor — under art. 28 GDPR. This article constitutes the data processing agreement between the parties.
13.2The Licensor: (a) processes personal data only to provide the Cloud Service and support, on the documented instructions of the Customer, which consist of the Agreement and the configuration of the Software; (b) binds the persons authorised to process the data to confidentiality; (c) implements the appropriate security measures required by art. 32 GDPR; (d) assists the Customer, taking into account the nature of the processing, in responding to data subject requests and in complying with arts. 32-36 GDPR; (e) notifies the Customer without undue delay, and in any case within 48 hours of discovery, of personal data breaches affecting it; (f) on termination of the Agreement deletes or returns the personal data under art. 12.6, subject to retention obligations under law; (g) makes available the information necessary to demonstrate compliance with art. 28 GDPR and allows audits with at least 30 days' notice, at the Customer's expense and without prejudice to the security and confidentiality of other customers.
13.3The Customer gives general authorisation for the engagement of sub-processors. The Licensor uses Microsoft Ireland Operations Limited for cloud infrastructure, e-mail and artificial intelligence services, and Cloudflare, Inc. for the delivery and protection of network traffic. The Licensor gives at least 30 days' notice of changes to this list; the Customer may object on legitimate grounds and, if no solution is found, withdraw without penalty, with a refund of fees paid for the unused period. The Licensor imposes equivalent obligations on its sub-processors and does not transfer personal data outside the European Economic Area without the safeguards required by Chapter V GDPR.
13.4In on-premise installations the Licensor does not process personal data on behalf of the Customer, except where the Customer gives it access for support: the preceding paragraphs apply to such processing.
13.5The personal data of the Customer's contacts, collected for the Account, invoicing and communications, is processed by the Licensor as controller, in accordance with the privacy notice published on the Site.
14. Fees and payment
14.1For direct purchases, fees are those in the price list published on the Site or in the accepted quotation, in euro and exclusive of VAT and other taxes, which are borne by the Customer.
14.2Fees are payable in advance for each billing period — yearly or, where offered, monthly, at the published price conditions — using the payment methods offered at the time of the Order or, for payments against invoice, within 30 days of the invoice date.
14.3Late payment interest under Italian Legislative Decree no. 231 of 9 October 2002 accrues on amounts not paid when due. If a written reminder remains unanswered for 15 days, the Licensor may suspend the licence and the Cloud Service until payment, under art. 22.
14.4Fees paid are non-refundable, except in the cases expressly provided for in arts. 13.3, 18.2, 20.2 and 25.2.
14.5Price list changes do not apply to Subscriptions in progress: they take effect at the next renewal, if notified at least 30 days before expiry. Prices of multi-year Subscriptions remain unchanged for their entire term.
15. Term, renewal and expiry
15.1The Subscription lasts for the period stated in the Order and starts when the Licence File is issued or the cloud environment is activated.
15.2Unless the Order expressly provides for automatic renewal, the Subscription does not renew tacitly. The Licensor notifies the Customer as expiry approaches, and renewal takes place with a new Order.
15.3When a Subscription expires without renewal, a grace period of 30 days follows — 15 for the free trial — during which the Software and the Cloud Service keep working and the Licensor sends reminders. Renewing within that period, use continues without interruption.
15.4Once the grace period has elapsed, the licence is suspended. On-premise, the Software reduces its functionality as described in the Documentation, without deleting the data collected; in the Cloud Service, art. 12.6 applies.
16. Support, updates and availability
16.1Support is provided with the level and first-response times set out for the Edition in Annex A, through the channels indicated on the Site. The stated times refer to taking charge of the request, not to its resolution.
16.2During the Subscription Period the Customer is entitled to the updates and new versions of the Software released for its Edition. On-premise, the Customer installs them; support covers the versions stated as supported in the Documentation.
16.3The Licensor operates and updates the Cloud Service with the required professional diligence, implements appropriate technical and organisational measures for its security and continuity, and gives reasonable advance notice of scheduled maintenance involving interruptions. Unless specific service levels are stated in the Order, the Licensor does not guarantee uninterrupted availability of the Cloud Service.
16.4The Licensor may evolve the Software and the Cloud Service, but during a paid Subscription it does not materially reduce the essential functionality of the purchased Edition.
17. Intellectual property
17.1The Software, the Documentation, the Cloud Service, the Corellix and CorellOS trademarks and the Licensor's other distinctive signs are the exclusive property of the Licensor or its licensors.
17.2The Software includes open source components, governed by their respective licences as indicated in the Software or in the Documentation. For those components the open source licences prevail, and nothing in the Agreement restricts the rights they grant.
17.3Third-party names and trademarks mentioned in the Software, the Documentation and on the Site, including those of the platforms the Software monitors, belong to their respective owners and are used only to indicate compatibility, without implying any affiliation or endorsement.
17.4The Licensor may freely use, without obligation to the Customer, any suggestions and comments on the Software that the Customer provides.
18. Warranties
18.1For paid Editions, the Licensor warrants that during the Subscription the Software operates in substantial conformity with the Documentation.
18.2If the Customer reports a reproducible non-conformity, the Licensor corrects it or provides a workaround within a reasonable time; if it cannot, the Customer may withdraw from the Subscription and obtain a refund of the fees paid for the unused period. This is the sole remedy for non-conformity, without prejudice to art. 19.
18.3The Licensor does not warrant that the Software is error-free or will operate without interruption, or that it will detect every malfunction or incident in the monitored systems. The Software is a support tool and does not replace the Customer's security, backup and business continuity measures.
18.4The Free edition and the free trial are provided “as is”, without warranties. To the extent permitted by law, any warranty not expressly provided for in this article is excluded.
19. Limitation of liability
19.1Except in cases of wilful misconduct or gross negligence and other cases where the law does not allow liability to be limited, the Licensor is not liable for indirect or consequential damages, loss of profit, loss of data, business opportunities, goodwill or reputation, or the cost of procuring substitute products or services.
19.2Within the same limits, the Licensor's total liability for all claims arising from the Agreement does not exceed the fees paid by the Customer, directly or through a Partner, for the Subscription concerned in the 12 months preceding the event giving rise to the claim.
19.3For the Free edition and the free trial, the Licensor is liable only for wilful misconduct or gross negligence.
19.4The Licensor is not liable for the consequences of actions performed by the Customer on its systems through the Software, such as remote access, scripts, power management and privileged access; for malfunctions of third-party systems, networks and services; or for decisions made on the basis of automatically generated analyses.
20. Indemnification
20.1The Customer indemnifies the Licensor against third-party claims, including those of End Clients, workers and authorities, arising from a breach of arts. 9, 10 or 11 or from Customer Data.
20.2The Licensor indemnifies the Customer against third-party claims that the Software, used in accordance with the Agreement, infringes their intellectual property rights, provided that the Customer notifies the Licensor promptly, gives it control of the defence and cooperates. The Licensor may, at its option, modify the Software or replace it with an equivalent non-infringing one, obtain for the Customer the right to continue using it or, if neither is reasonably practicable, terminate the Subscription and refund the fees paid for the unused period. This indemnity does not apply to unauthorised modifications, to combinations with third-party products not provided for in the Documentation, to the Free edition or to the free trial.
21. Confidentiality
21.1Each party keeps confidential the non-public information of the other that it learns in performing the Agreement, uses it only for that purpose and discloses it only to those who need it and are bound by equivalent obligations.
21.2This obligation does not cover information that is already public through no fault of the receiving party, already known to it, independently developed by it or required to be disclosed by law or by order of an authority. It lasts for the term of the Agreement and for 3 years thereafter, and indefinitely for trade secrets.
22. Suspension
The Licensor may suspend the licence or the Cloud Service in whole or in part, notifying the Customer with as much notice as circumstances allow, when: (a) the Customer fails to pay within the terms of art. 14.3, or the case in art. 8.4 occurs; (b) the Customer breaches arts. 6.5, 10 or 11; (c) the Customer's use endangers the security or operation of the Cloud Service or of other customers; (d) it is required by law or by order of an authority. Suspension is limited to what is necessary, ends when its cause ceases and does not delete any data.
23. Termination and withdrawal
23.1The Licensor may terminate the Agreement under art. 1456 of the Italian Civil Code, by written notice, if the Customer breaches arts. 4, 6.5, 9, 10 or 11, or fails to pay fees within 30 days of their due date.
23.2Either party may terminate the Agreement if the other fails to remedy a material breach within 30 days of a written notice to perform under art. 1454 of the Italian Civil Code, or becomes subject to judicial liquidation or other insolvency proceedings.
23.3The Customer may withdraw at any time, by closing the licence from the dashboard or by written notice. Fees paid or due for the current period are retained by the Licensor, except in the refund cases expressly provided for.
23.4Upon termination of the Agreement for any reason, the Customer stops using the Software, uninstalls it from on-premise Environments and destroys its copies; art. 12.6 applies to Cloud Service data. Clauses which by their nature are intended to survive remain in force, including arts. 10, 12, 13, 17, 19, 20, 21, 29 and 30.
24. Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control — including natural disasters, epidemics, wars, acts of terrorism, large-scale cyber attacks, widespread outages of networks or of infrastructure providers' services, and orders of authorities — for as long as such events last. Payment obligations are excluded.
25. Changes to these Terms
25.1The Licensor may change these Terms by notifying the Customer by e-mail and publishing the new version on the Site at least 30 days before it takes effect.
25.2For paid Subscriptions in progress, changes apply from the next renewal, unless they are required by law or do not worsen the Customer's position. If a change required by law materially worsens the Customer's position, the Customer may withdraw before it takes effect and obtain a refund of the fees paid for the unused period.
25.3For the Free edition and the free trial, changes apply from their effective date; a Customer who does not accept them may close the licence.
26. Notices
The Licensor sends notices to the e-mail address of the Account or to the one stated in the Order. The Customer sends its notices to info@corellix.io or through the contact form on the Site. Notices that the Agreement requires in writing may be given by e-mail or certified e-mail (PEC).
27. Assignment
27.1The Customer may not assign the Agreement without the Licensor's written consent, which will not be unreasonably withheld in case of merger, demerger or transfer of business.
27.2The Customer hereby consents, under art. 1407 of the Italian Civil Code, to the assignment of the Agreement by the Licensor to companies of its group or to the acquirer of the business or business unit to which the Software belongs, effective upon notice to the Customer.
28. Export control and sanctions
The Customer complies with the export control and restrictive measures rules of the European Union and of the other applicable legal systems, and does not make the Software or the Cloud Service available to persons, entities or countries subject to such measures.
29. General provisions
29.1The Agreement is the entire agreement between the parties on its subject matter and supersedes any prior understanding.
29.2The invalidity of a clause does not affect the others; an invalid clause is replaced by the applicable rule of law or by the valid provision closest to the parties' intent.
29.3A party's tolerance of a breach by the other does not constitute a waiver of its rights.
29.4The parties are independent contractors: the Agreement does not create a partnership, mandate, agency or employment relationship between them.
29.5These Terms are drawn up in Italian and also published in English. In case of conflict, the Italian text prevails.
30. Governing law and jurisdiction
30.1The Agreement is governed by Italian law, excluding its conflict-of-laws rules and the Vienna Convention of 11 April 1980 on Contracts for the International Sale of Goods.
30.2Any dispute relating to the Agreement, including its validity, interpretation, performance and termination, falls under the exclusive jurisdiction of the courts of Bergamo, Italy, without prejudice to interim and urgent measures before the court competent by law.
31. Specific approval
Under arts. 1341 and 1342 of the Italian Civil Code, the Customer declares that it has read and specifically approves the following clauses: 1.3 (precedence of documents and exclusion of the Customer's terms); 5.3 (purchase and invoicing of excess Units); 6.3 (reduced functionality without contact with the cloud); 6.4 (declaration of Units in use); 7.2 (lapse of the Free licence); 7.4 (change and discontinuation of the Free and free trial offer); 8.2 (no liability for the Partner's commitments); 8.4 (suspension for non-payment by the Partner); 9.2 and 9.3 (obligations and liability of the MSP); 12.6 (suspension and deletion of the environment and erasure of data); 14.3 (suspension for non-payment); 14.4 (non-refundable fees); 15.2 (renewal); 16.3 (no guarantee of uninterrupted availability); 18 (limitation of warranties); 19 (limitation of liability); 20.1 (indemnification); 22 (suspension); 23.1 (express termination clause); 23.3 (withdrawal without refund); 25 (changes to these Terms); 27.2 (assignment of the Agreement by the Licensor); 30 (governing law and jurisdiction). Approval is given by a separate acceptance when placing the Order or requesting the licence.
Annex A — Edition characteristics
